Clinitrace provides an AI-powered healthcare compliance platform for Spanish healthcare providers, licensed on a business-to-business (B2B) software-as-a-service (SaaS) basis. Our Services include but are not limited to:

• Integration with your EMR and HRIS systems
• AI-assisted generation of policies and compliance documentation
• Predictive risk scoring and gap detection
• Continuous regulatory monitoring aligned to Spain's Ministry of Health, AEMPS, and applicable national and regional healthcare licensing frameworks standards
• Automated audit trails, team workflows, and reporting

Our Services are designed to assist healthcare providers with compliance management but do not constitute legal advice. Clinitrace is not a government body and is not affiliated with Ministry of Health or AEMPS. AI-generated content should be reviewed by qualified personnel before you rely on it.

3. User Accounts

To access certain features of our Services, you must create an account. You agree to:

• Notify us immediately of any unauthorised access
• Accept responsibility for all activities under your account

6. Subscription and Payment

Access to certain features of our Services requires a paid subscription. By subscribing, you agree to:

• Authorise us to charge your payment method for recurring fees

Subscription fees are billed in advance on a monthly or annual basis. We reserve the right to change our pricing with 30 days' notice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLINITRACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CLINITRACE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Clinitrace and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of our Services or violation of these Terms.

10. Termination

We may terminate or suspend your access to our Services at any time, with or without cause, with or without notice. Upon termination, your right to use our Services will immediately cease.

You may terminate your account at any time by contacting us. All provisions of these Terms which by their nature should survive termination shall survive.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of Spain.
